February 15, 2002Goldsmith Agio Helms Announces Completion of Acquisition of High Plains Corporation by Abengoa, S.A. MINNEAPOLIS--(BUSINESS WIRE)--Feb. 14, 2002--The investment banking firm of Goldsmith Agio Helms announced the merger of Abengoa Biofuels Corp., an indirect wholly owned subsidiary of Abengoa, S.A., into High Plains Corporation (formerly listed on NASDAQ as HIPC). The merger follows the completion of the cash tender offer for all the outstanding shares of common stock of High Plains by ASA Environment and Energy Holding, A.G. (ASA), a wholly owned subsidiary of Abengoa, which expired Wednesday, January 16, 2002. As a result of the merger, High Plains has become a wholly owned subsidiary of ASA. In addition, the remaining shares of High Plains' common stock were converted into the right to receive $5.6358 per share. Goldsmith Agio Helms served as High Plains' financial advisor.
High Plains Corporation is among the nation's largest producers of ethanol. The Company operates facilities in Colwich, Kansas, York, Nebraska, and Portales, New Mexico.
Abengoa, S.A. is a $1.3 billion company headquartered in Seville, Spain and is listed on the Madrid Stock Exchange. It owns companies and conducts business around the world in engineering and construction, systems and network integration, environment and ethanol production.
